Executive Summary (General Business): The City of Port St. Lucie Utility Services Division (PSLUSD) owns certain property adjacent to the existing Glades Wastewater Treatment Facility. Any future plans for expansion of the wastewater treatment facility would be on property owned by PSLUSD to the west of the existing facility. The property to the north has been deemed as not necessary for the current or future operations of the facility.

Staff Recommendation: Move that the Council authorize the conveyance.

Background: The PSLUSD acquired real property identified as 3317-111-0000-000-3 and 3317-121-0000-000-4, totaling 150.37 acres, generally located north of NW Glades Cut-Off Road and West of McCarty Road. Originally the site was identified for future expansion of the Glades Wastewater Treatment Facility, but was determined that PSLUSD does not plan on expanding their facility on this property. The future land use for the property was requested to be rezoned from Utility to Light Industrial, allowing for a wider variety of uses. In working with the St. Lucie County Economic Development County, SBR Land Development LLC expressed interest in acquiring the property for the purpose of developing Project Scale. A Purchase and Sale Agreement was drafted and reviewed by both parties, of which is being presented in substantially the final form for City Council consideration.
Issues/Analysis: The Purchase and Sale Agreement provides for Exhibits depicting certain conveyances and obligations associated thereto. Each respective conveyance and obligation will be brought forward to City Council for future review and consideration, as consistent with other real property transactions conducted by the City.
Financial Information: The Purchase Price is $13,160,000, as supported by independent appraisal. The first deposit of $60,000 is due within three (3) days of the Effective Date of the Purchase and Sale Agreement. The second deposit of $100,000 is due within three (3) days after the expiration of the Inspection Period. The Inspection Period is one hundred eighty (180) days with option for a thirty (30) day extension.
Special Consideration: It shall be the Buyer’s responsibility to seek and achieve all necessary changes to zoning, etc., for the development of the Property. In addition, the Buyer will be required to convey a 20’ Drainage and Utility Easement to the City around the perimeter of the properties, as assembled. The Buyer will also be responsible for causing the construction of the extension of East West 5 Roadway to connect to the site, of which construction must be complete prior to the issuance of the first Certificate of Occupancy on the Property. The Buyer will be responsible for seeking certain Utility connections to serve the site, including bringing power to the site required for any future development.
Location of Project: The property is located north of Glades Cut-Off Road, west of McCarty Road and north of the Glades Wastewater Treatment Plant.
